1. Acceptance of Terms

By accessing or using Agricultable, you agree to:

  • Comply with these Terms of Service
  • Comply with all applicable laws and regulations
  • Our Privacy Policy and any other policies referenced herein

If you do not agree to these Terms, you must not use our services.

2. Eligibility

To use Agricultable, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using our services under applicable law
  • Provide accurate and complete registration information

By creating an account, you represent and warrant that you meet these eligibility requirements.

3. User Accounts

3.1 Account Creation

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Providing accurate, current, and complete information

3.2 Account Types

Shopper Accounts: For customers purchasing from farms

Farmer Accounts: For farmers selling products through our platform

3.3 Account Termination

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms of Service
  • Provide false or misleading information
  • Engage in fraudulent or illegal activities
  • Harm other users or our platform

4. Use of Services

4.1 For Shoppers

As a shopper, you may:

  • Browse and search for farms and products
  • Place orders and make purchases
  • Communicate with farmers regarding orders
  • Leave reviews and ratings (subject to our review policy)

4.2 For Farmers

As a farmer, you may:

  • Create and customize your farm shop
  • List and sell your products
  • Manage orders and customer communications
  • Access sales analytics and reporting tools

4.3 Prohibited Uses

You agree NOT to:

  • Use our services for any illegal purpose
  • Violate any local, state, national, or international law
  • Infringe on intellectual property rights
  • Transmit viruses, malware, or harmful code
  • Harass, abuse, or harm other users
  • Impersonate any person or entity
  • Collect or store personal data of other users without consent
  • Interfere with or disrupt our services
  • Use automated systems (bots, scrapers) without permission
  • Sell prohibited items (weapons, illegal substances, etc.)

5. Transactions and Payments

5.1 Product Listings

Farmers are responsible for:

  • Accurate product descriptions and pricing
  • Product availability and inventory management
  • Compliance with food safety regulations
  • Proper labeling and allergen information

5.2 Orders and Purchases

  • All sales are transactions between shoppers and farmers
  • Agricultable facilitates transactions but is not a party to the sale
  • Prices are set by individual farmers
  • Orders are subject to availability and acceptance by farmers

5.3 Payment Processing

  • Payments are processed through third-party payment processors
  • You agree to the terms of our payment processors
  • All payments must be made in good faith
  • Chargebacks and disputes are handled according to payment processor policies

5.4 Fees and Commissions

Agricultable charges farmers:

  • Monthly subscription fees (for Professional and Enterprise plans)
  • Transaction fees as specified in the pricing page
  • Additional fees for premium features (if applicable)

All fees are non-refundable unless otherwise stated.

6. Refunds and Returns

Due to the perishable nature of farm products:

  • Refund and return policies are set by individual farmers
  • Shoppers should review farm-specific policies before purchasing
  • Disputes should be resolved directly between shoppers and farmers
  • Agricultable may assist in dispute resolution but makes no guarantees

For damaged or incorrect items, contact the farm within 24 hours of receipt.

7. Intellectual Property

7.1 Our Content

All content on Agricultable, including:

  • Text, graphics, logos, images, and software
  • The compilation and organization of content
  • Trade names, trademarks, and service marks

Are owned by or licensed to Agricultable and protected by intellectual property laws.

7.2 User Content

By submitting content (product listings, reviews, photos), you:

  • Retain ownership of your content
  • Grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content
  • Represent that you have all necessary rights to the content
  • Agree that your content does not violate any third-party rights

7.3 Copyright Infringement

We respect intellectual property rights. If you believe content infringes your copyright, contact us at dmca@agricultable.com with:

  • Description of the copyrighted work
  • Location of the infringing content
  • Your contact information
  • A statement of good faith belief
  • Your physical or electronic signature

8. Disclaimers and Limitation of Liability

8.1 No Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Non-infringement of third-party rights
  • Uninterrupted, secure, or error-free operation
  • Accuracy, reliability, or quality of content

8.2 Product Quality and Safety

Agricultable does not:

  • Guarantee the quality, safety, or legality of products
  • Verify product descriptions or farmer representations
  • Inspect or test products sold through the platform
  • Assume responsibility for product-related issues

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGRICULTABLE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage
  • Food-borne illness or allergic reactions
  • Actions or omissions of farmers or other users

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Agricultable, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your content or product listings
  • Any products you sell through the platform

10. Dispute Resolution

10.1 Informal Resolution

Before filing a legal claim, you agree to contact us at legal@agricultable.com to attempt to resolve the dispute informally.

10.2 Arbitration Agreement

Any dispute arising from these Terms shall be resolved through binding arbitration, except:

  • Small claims court actions (under $10,000)
  • Intellectual property disputes
  • Emergency injunctive relief

10.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class arbitrations.

10.4 Governing Law

These Terms are governed by the laws of the State of Kentucky, United States, without regard to conflict of law principles.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms on our website
  • Sending email notification to registered users
  • Displaying a prominent notice on our platform

Your continued use after changes constitutes acceptance of the modified Terms.

12. Termination

We may terminate or suspend your access immediately, without notice, for:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Harm to other users or our platform
  • Request by law enforcement

Upon termination:

  • Your right to use our services ceases immediately
  • We may delete your account and data (subject to legal retention requirements)
  • Outstanding financial obligations remain due
  • Provisions that should survive termination remain in effect

13. Privacy and Data Protection

Your use of our services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information in compliance with GDPR and other data protection laws.

You can manage your communication preferences in your account settings or by clicking "unsubscribe" in any email.

15. Third-Party Services

Our platform may integrate with or link to third-party services:

We are not responsible for third-party services, their content, or their terms. Your use of third-party services is at your own risk and subject to their terms.

16. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters (floods, earthquakes, storms)
  • Acts of war, terrorism, or civil unrest
  • Government actions or regulations
  • Labor disputes or strikes
  • Internet or utility failures
  • Pandemics or public health emergencies

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Agricultable regarding your use of our services, superseding any prior agreements or understandings.

19. Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate, successor, or purchaser of our business without restriction.

20. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative.
